1. Agreement to Terms

By accessing or using AI Prompt Library ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and AI Prompt Library. Please read them carefully.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 13 years old to use this Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service and that they have agreed to these Terms on your behalf.

2.2 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

2.3 Account Restrictions

You may not:

• Create multiple accounts for fraudulent purposes
• Share your account credentials with others
• Use another user's account without permission
• Create an account using automated means or false pretenses

3. Subscription Plans and Billing

3.1 Service Tiers

We offer multiple subscription tiers:

• Free: Limited features (100 prompts, 3 collections, 20 Optimize/month, 50 Tag Gen/month)
• Personal: $5/month - Unlimited prompts & collections, 500 Optimize/month, 1,000 Tag Gen/month
• Pro: $12/month - 2,000 Optimize/month, 5,000 Tag Gen/month, advanced features
• Custom: Enterprise pricing available on request

3.2 Billing and Payment

• Payment Processing: All payments are processed securely through Stripe. We do not store your full credit card information.
• Billing Cycle: Subscriptions are billed monthly or annually (if offered) in advance on a recurring basis.
• Auto-Renewal: Your subscription automatically renews at the end of each billing period unless cancelled before the renewal date.
• Price Changes: We may change subscription prices with at least 30 days' notice via email. Changes take effect at your next renewal.
• Currency: All prices are in US Dollars (USD) unless otherwise stated.
• Taxes: Prices do not include applicable sales tax, VAT, or other taxes. You are responsible for any such taxes.

3.3 Usage Limits and Overages

• Each plan has specified usage limits (Optimize requests, Tag Generation, etc.)
• Limits reset at the beginning of each billing cycle (00:00 UTC on renewal date)
• Overage charges may apply for certain features (if enabled). You will be notified before incurring overage charges.
• We may throttle or temporarily restrict access if you significantly exceed fair use limits

3.4 Free Trial (If Applicable)

If we offer a free trial, you may be required to provide payment information. You will not be charged until the trial period ends. To avoid charges, cancel before the trial expires.

3.5 Cancellation and Refunds

• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• No Partial Refunds: We do not provide refunds or credits for partial months or unused portions of the Service.
• 30-Day Money-Back Guarantee: For new subscribers, we offer a full refund if you cancel within 30 days of your first payment. Contact us at hello@aipromptlibrary.co.uk with "Refund Request" in the subject line.
• Downgrading: You may downgrade your plan at any time. Changes take effect at the next billing cycle.
• Failed Payments: If payment fails, we will attempt to charge your payment method up to 3 times. After 3 failures, your account may be downgraded or suspended.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service to:

• Create, store, organize, and manage AI prompts
• Optimize prompts using AI-powered features
• Share prompts publicly or privately as permitted by the Service
• Export your data for personal use

4.2 Prohibited Conduct

You may not use the Service to:

• Illegal Activities: Engage in any unlawful conduct or use the Service for illegal purposes
• Harmful Content: Create, store, or share content that is defamatory, obscene, abusive, harassing, threatening, or hateful
• Intellectual Property Violations: Upload content that infringes copyrights, trademarks, trade secrets, or other intellectual property rights
• Malicious Use: Upload viruses, malware, or malicious code; attempt to gain unauthorized access; or disrupt the Service
• Spam or Abuse: Send unsolicited messages, abuse sharing features, or create fake accounts
• Scraping: Use automated tools to scrape, collect, or harvest user content without permission
• Reverse Engineering: Decompile, disassemble, or reverse engineer the Service or its underlying technology
• Reselling: Resell, sublicense, or commercially exploit the Service without authorization
• Circumvention: Bypass rate limits, usage restrictions, or access controls

4.3 AI Content Guidelines

When using AI features (Optimize, Tag Generation), you agree not to:

• Attempt to create prompts designed to produce harmful, illegal, or inappropriate AI outputs
• Use AI features to generate content that violates third-party rights
• Abuse AI features through excessive automated requests

5. Content Ownership and Licensing

5.1 Your Content

You retain all ownership rights to the prompts, collections, and other content you create ("Your Content"). We do not claim ownership of Your Content.

5.2 License Grant to Us

By uploading or creating content on the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display Your Content as necessary to provide the Service
• Process Your Content with AI providers (Anthropic, OpenAI) when you use optimization or search features
• Display publicly shared prompts in the Gallery and allow others to view and fork them
• Create backups and ensure redundancy of Your Content

This license terminates when you delete Your Content or close your account (subject to backup retention periods).

5.3 Public Content

When you mark a prompt as "Public" and share it in the Gallery:

• You grant other users a license to view, copy, and fork (duplicate) your prompt
• You represent that you have the right to share the content publicly
• You acknowledge that public content may be indexed by search engines
• You can make content private at any time, but copies made by others remain theirs

5.4 Our Content

The Service, including its design, features, code, branding, and documentation ("Our Content"), is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on Our Content without permission.

5.5 AI-Generated Output

For content generated by AI features (optimized prompts, tags):

• You own the output generated for you
• We do not claim rights to AI-generated content
• You are responsible for reviewing and validating AI outputs before use
• AI outputs may not be unique; similar requests may produce similar results for different users

6. DMCA Copyright Policy

6.1 Copyright Infringement Reporting

We respect intellectual property rights. If you believe your copyrighted work has been infringed, send a DMCA notice to hello@aipromptlibrary.co.uk with:

• Your contact information (name, address, email, phone)
• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on our Service
• A statement that you have a good faith belief the use is not authorized
• A statement that the information is accurate and you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

6.2 Counter-Notification

If your content was removed due to a DMCA notice and you believe it was removed in error, you may file a counter-notification.

6.3 Repeat Infringers

We will terminate accounts of users who are repeat copyright infringers.

7. Service Availability and Modifications

7.1 Service Availability

• We strive for high availability but do not guarantee uninterrupted access
• The Service may be unavailable due to maintenance, updates, or technical issues
• We are not liable for any downtime or service interruptions

7.2 Modifications to Service

We reserve the right to:

• Modify, update, or discontinue features at any time without notice
• Change usage limits, quotas, or feature availability
• Implement new features or services

Material changes affecting paid subscribers will be communicated with reasonable notice.

8. Account Suspension and Termination

8.1 Termination by You

You may close your account at any time through account settings or by contacting us. Upon closure:

• Your access will be terminated at the end of the current billing period
• Your data will be deleted according to our Privacy Policy
• No refunds will be provided for remaining subscription time

8.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent activity or abuse the Service
• Fail to pay subscription fees
• Pose a security or legal risk

Before terminating, we will provide notice and an opportunity to cure violations when reasonable (except for serious violations or legal requirements).

8.3 Effect of Termination

• All licenses granted to you terminate immediately
• You must cease all use of the Service
• Provisions regarding ownership, indemnification, disclaimers, and limitations of liability survive termination

9. Disclaimers and Warranties

9.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.2 No Warranty on AI Outputs

We do not warrant that:

• AI-generated content (optimized prompts, tags) will be accurate, complete, or suitable for your purposes
• AI features will produce desired results
• The Service will meet your requirements or be uninterrupted, secure, or error-free
• Any errors will be corrected

9.3 Third-Party Services

We use third-party AI providers (Anthropic, OpenAI). We are not responsible for their availability, accuracy, or any issues arising from their services.

9.4 User Responsibility

You are solely responsible for:

• Evaluating the accuracy, quality, and appropriateness of AI outputs
• How you use prompts and AI-generated content
• Compliance with applicable laws when using the Service

10. Limitation of Liability

10.1 Damages Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• The amount you paid us in the 12 months preceding the claim, or
• $100 USD

10.2 Exclusion of Damages

WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access, use, or alteration of your content
• Damages resulting from third-party services or AI outputs
• Any other matter relating to the Service

This applies even if we were advised of the possibility of such damages.

10.3 Basis of the Bargain

These limitations reflect the allocation of risk between the parties. The limitations will apply even if any limited remedy fails of its essential purpose.

11. Indemnification

You agree to indemnify, defend, and hold harmless AI Prompt Library and its officers, directors, employees, contractors, and agents from any claims, losses, damages, liabilities, including legal fees and costs, arising out of:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party, including intellectual property rights
• Your Content and any claims that Your Content caused harm to others
• Your violation of any laws or regulations

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of England and Wales (or your local jurisdiction - please specify), without regard to conflict of law principles.

12.2 Informal Resolution

Before filing a formal dispute, please contact us at hello@aipromptlibrary.co.uk to seek informal resolution. We will attempt to resolve disputes in good faith within 30 days.

12.3 Jurisdiction and Venue

Any disputes not resolved informally shall be brought exclusively in the courts located in [Your Location - e.g., London, England], and you consent to personal jurisdiction in such courts.

12.4 Waiver of Class Actions

You agree to bring claims only in your individual capacity and not as part of a class action or representative proceeding.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

13.2 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service at least 30 days before taking effect. Your continued use after changes become effective constitutes acceptance.

13.3 Severability

If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

13.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of future enforcement of that right or provision.

13.5 Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction.

13.6 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control (e.g., natural disasters, war, pandemics, internet outages).

13.7 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country.
